条款 & 条件

1. 保密义务：接收方确认，从 SuraChangMedia Co.,Ltd. 瑞象传媒泰国公司（“披露方”）收到的一切文件与信息（包括但不限于账单、财务报表、公司注册及税务文件，统称“保密信息”）均属机密。接收方须以不低于保护自身同类信息的谨慎程度予以保护，且仅可为双方业务往来之明确目的而使用。未经披露方事先书面同意，不得向任何第三方披露。
2. 免责声明：保密信息按“现状”提供。披露方不对其准确性、完整性作任何明示或默示的担保，且对传输过程中的任何延迟、丢失或错误不承担责任，法律另有强制性规定的除外。
3. 管辖法律与争议解决：本条款受 泰国 法律管辖并据其解释。因本条款引起的或与之相关的任何争议，双方应首先友好协商解决；协商不成的，任何一方均可将争议提交 泰国 具有管辖权的法院诉讼解决。
4. 语言版本：如本条款存在多种语言版本， 英文版本 与中文版本如有歧义，应以 英文版本 为准。

1. Confidentiality: The recipient acknowledges that all documents and information received from SuraChangMedia Co.,Ltd. บริษัท สุรช้างมีเดีย จำกัด  ("Disclosing Party"), including but not limited to invoices, financial statements, company registration, and tax documents (collectively, "Confidential Information"), are confidential. The recipient must protect the Confidential Information with a standard of care no less than that used to protect its own similar information, and shall use it solely for the explicit purpose of the business between the parties. The recipient shall not disclose any Confidential Information to any third party without the prior written consent of the Disclosing Party.
2. Disclaimer: Confidential Information is provided "AS IS". The Disclosing Party makes no warranties, express or implied, regarding its accuracy or completeness, and shall not be liable for any delays, loss, or errors in transmission, except as mandated by applicable law.
3. Governing Law and Dispute Resolution: These Terms shall be governed by and construed in accordance with the laws of Thailand. Any dispute arising out of or in connection with these Terms shall be first resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to the competent courts of Thailand.
